Research Independence
A research conclusion is useful only if the evidence behind it was permitted for that work. Varosync records the source boundary before research begins and keeps sponsor-confidential material out of capital-markets work.
Capital-markets research
Capital-markets research uses public and otherwise permitted evidence under a written information boundary. A customer may identify a public program, public claim or public source. It may not supply MNPI, confidential sponsor material, data-room records or information received under a duty that prevents its use.
Varosync records the evidence cutoff and source of each material conclusion. A customer cannot direct Varosync to omit contrary public evidence or change a supported conclusion. A disagreement may be recorded, and new evidence may be tested, but the underlying source record remains intact.
Sponsor-confidential research
A sponsor engagement may use confidential information when the Order and applicable data agreement authorize it. That material is used only for the sponsor purpose stated in the Order. It does not enter capital-markets research, another customer’s work, product improvement, a shared-model training set, a cross-customer benchmark or a publication without separate, express written permission.
Conflict review
Before restricted material is released for research, Varosync checks whether an active or recent matter concerns the same sponsor, asset, program, target, mechanism or transaction. The review identifies the people and outputs that could be affected.
Varosync then records one decision: proceed without restriction, restrict staffing or access, delay an output, obtain consent, establish an information barrier, recuse a person, or decline the matter. Commercial urgency does not override an unresolved conflict or information-rights question.
Material nonpublic information
Do not send MNPI through a public form, the commercial order room, a payment page, a support request or ordinary email. If Varosync receives information that may be MNPI or may have been disclosed in breach of a duty, it may quarantine the information, stop the affected work, restrict access, and seek legal review. It will not place the information into a research record or release an affected output until the question is resolved.
Nothing in a Varosync engagement authorizes unlawful trading, market manipulation, or use of information in breach of a duty owed to another person.
Access and release
Access follows the source. A person may work on or receive an output only if that person’s role permits access to the material on which the output depends.
Before release, Varosync checks the Order, intended use, authorized recipients, evidence cutoff, source restrictions, conflict status and any unresolved information alert. An output that fails a release condition remains withheld until the condition is resolved or the affected material is removed and the conclusion is rerun.
Customer influence and corrections
The customer may challenge a source, classification, assumption or conclusion. Varosync records the challenge and tests it against the governing evidence. A supported correction is made with its reason and date. Varosync does not change a conclusion because a customer, sponsor, investor or commercial contact prefers a different result.
Publicity
Varosync does not identify a customer, sponsor, project, quotation or result in public material without specific written permission. Permission for publicity does not permit reuse of Customer Material or confidential research methods.

Questions about an information boundary or a possible conflict may be sent to legal@varosync.com. Do not include the restricted information in the first message. Identify the organization, matter reference if one exists, and the nature of the concern. Varosync will provide an approved route if more detail is needed.
